I affirm, understand and agree: (a) That should I publish a profile on behalf of a company, that profile shall be a "Testing the Waters" communication intended for the purpose of gauging investor interest; (b) To refrain from raising capital on the Site; (c) Should I discover an investor on AngelRoot, I shall cause the Company to refrain from accepting an investment offer until such time: (i) that the company’s securities are offered outside the confines of AngelRoot through a FINRA registered broker-dealer and/or SEC registered funding portal permitted to offer and sell such securities, in compliance with Title III of the Jumpstart Our Business Startups Act (JOBS Act); or otherwise (ii) from an Accredited Investor(s) as defined and in compliance with Rule 501 of Regulation D under the U.S. Securities Act of 1933, as amended by the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010; and (d) That should the Company post a job offering, I shall cause the Company to comply with all applicable employment laws and regulations.
I may want to submit a profile of a technology transfer on behalf of the university or institute where I work.
I affirm: That I am a faculty or staff member at a university or research institute. If I submit a profile for a Technology Transfer, I will use my best efforts if and when an entity is formed, to cause that entity: (a) to take the necessary steps to verify the financial status and sophistication of each prospective Investor before that entity accepts any investment capital; (b) to comply with all applicable securities laws and regulations and employment laws and regulations.
I want to discover startups seeking to gauge my interest in making an investment.
I affirm, understand and agree: (a) that making an investment in an early stage company carries significant risk, and that I can afford and I am prepared to lose my entire investment; (b) that none of the companies that have published a profile on AngelRoot are raising capital on the Site, but are rather, in some cases, conducting a "Testing the Waters" communication campaign intended to gauge investor interest in a future offering of its securities; (c) that should I discover such a company on AngelRoot I shall not make an investment offer until such time: (i) that its securities are offered outside the confines of AngelRoot; and (ii) through a FINRA registered broker-dealer and/or SEC registered funding portal permitted to offer and sell such securities, in compliance with Title III of the Jumpstart Our Business Startups Act (JOBS Act) and (iii) I will comply with the investment limitation guidelines and the other provisions contained in the JOBS Act or I am an Accredited Investor, as defined in Rule 501 of Regulation D under the U.S. Securities Act of 1933, as amended by the Dodd-Frank Wall Street Reform and Consumer Protection Act of 2010.

Some of the profiles on the Site contain information that is "Testing the Waters" communications, posted by startup companies intending to gauge interest in a future offering of the company's securities under Tier 2 of Regulation A of the JOBS Act. Companies which are “testing the waters” have either not yet made a filing with the SEC, or have made a filing with the SEC, but their securities which are being offered under Regulation A have not yet been approved for sale. “Testing the Waters” information is not intended to comply with the specific, detailed disclosure requirements contained in a Regulation A, Preliminary Offering Circular. Those companies engaged in a “Testing the Waters” campaign and which have filed a Preliminary Offering Circular with the SEC are required to make available a copy of the Preliminary Offering Circular.
